Article 1: Agreement to Terms
These Terms and Conditions constitute a legally binding agreement made between you, whether personally or on behalf of an entity (“Client,” “you”) and Phoenix Feathers Advertising (“Agency,” “we,” “us,” or “our”), concerning your access to and use of the https://phoenixad.agency  website as well as any services offered (“Services”). By using this website or engaging our Services, you agree that you have read, understood, and agree to be bound by all of these Terms and Conditions. IF YOU DO NOT AGREE WITH ALL OF THESE TERMS, THEN YOU ARE EXPRESSLY PROHIBITED FROM USING THE SITE AND SERVICES AND YOU MUST DISCONTINUE USE IMMEDIATELY.

Article 2: Governing Law and Jurisdiction
These Terms shall be governed by and defined following the laws of the United Arab Emirates as applied in the Emirate of Dubai. Phoenix Feathers Advertising and yourself irrevocably consent that the Courts of Dubai shall have exclusive jurisdiction to resolve any dispute which may arise in connection with these terms.

Article 3: Services and Scope of Work
The Agency provides search engine optimization (SEO), digital marketing, and web design services. The specific scope, deliverables, timelines, and fees for any project will be detailed in a separate, legally binding document such as a “Service Agreement” or “Statement of Work” (SOW), which must be executed by both parties. These Terms and Conditions shall be incorporated by reference into every SOW.

Article 4: SEO Services Disclaimer & Acknowledgement of Risk
4.1. No Guarantees: The Client acknowledges that the Agency cannot guarantee any specific search engine rankings, traffic volumes, or business outcomes. SEO performance is subject to factors beyond our control, including search engine algorithm changes, competitor activities, and market fluctuations.
4.2. Third-Party Algorithms: Our services are dependent on third-party platforms like Google. We are not liable for any changes in these platforms’ policies or algorithms that may negatively impact the Client’s website or campaign performance.
4.3. Ethical Practices: We adhere strictly to “White Hat” SEO practices as defined by major search engines. We will not engage in any practice that violates search engine guidelines. We are not responsible for any adverse actions taken by search engines due to the Client’s past or concurrent SEO activities performed by other parties.
4.4. Long-Term Process: The Client understands that SEO is a long-term marketing strategy and that tangible results may take several months to materialize.

Article 5: Client Obligations
The Client agrees to provide timely access to necessary resources, including but not limited to website backend access, analytics accounts, and required content. Any delay on the Client’s part may result in project timeline extensions for which the Agency will not be held liable.

Article 6: Intellectual Property Rights
All methodologies, software, and proprietary tools used by the Agency in the provision of Services shall remain the sole property of the Agency. All client-specific content and deliverables, as defined in the SOW, shall become the property of the Client upon receipt of full and final payment for the relevant services.

Article 7: Limitation of Liability
IN NO EVENT WILL THE AGENCY, ITS DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFIT, LOST REVENUE, LOSS OF DATA, OR OTHER DAMAGES ARISING FROM YOUR USE OF THE SITE OR OUR SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED HEREIN, OUR LIABILITY TO YOU FOR ANY CAUSE WHATSOEVER AND REGARDLESS OF THE FORM OF THE ACTION, WILL AT ALL TIMES BE LIMITED TO THE AMOUNT PAID, IF ANY, BY YOU TO US DURING THE THREE (3) MONTH PERIOD PRIOR TO ANY CAUSE OF ACTION ARISING.

Article 8: Payments and Fees
Payment terms will be specified in the SOW. Late payments are subject to a late fee and may result in the immediate suspension of all Services without liability to the Agency.

Article 9: Termination
The Agency reserves the right to terminate any Service Agreement with immediate effect if the Client breaches any term of this agreement or the SOW, or fails to make timely payments.
